IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages. Eligibility Requirements

You assert that you are at least 18 years old (or have parental/guardian consent) and have legal capacity to enter into these terms.

Code of Conduct

You agree to maintain professional standards by being respectful, avoiding harassment, protecting intellectual property, respecting privacy, and using resources only for legitimate learning purposes.

Prohibited Activities

The following activities are strictly forbidden: sharing credentials, commercial use, reverse engineering, disruption of programs, or any illegal activity.

5. Intellectual Property

1

Institute Materials

All educational materials, content, and resources provided by the Institute remain our exclusive intellectual property. This includes curricula, presentations, documentation, and proprietary methodologies.

2

Your Work Product

Work you create during programs ("Participant IP") remains your intellectual property. However, the Institute retains a non-exclusive right to use anonymized versions for educational, research, and promotional purposes.

This balanced approach ensures that while you maintain ownership of your creative work, the Institute can continue to improve and promote its educational mission through real examples of participant achievements.

6. Privacy and Data

01

Data Collection

The Institute may collect personal information and work product as necessary for program administration and educational purposes.

02

Data Usage

Collected data is used for program administration, participant assessment, networking opportunities, educational research, and promotional activities. Detailed information is available in our Privacy Policy.

03

Third-Party Tools

Educational programs may utilize third-party platforms and tools, each governed by their respective privacy policies and terms of service.

7. Program Administration

Program Changes

The Institute reserves the right to modify, suspend, or terminate any program at its sole discretion, with or without notice to participants.

Participant Removal

Participants may be removed from programs for violations of these terms, disruptive behavior, or failure to meet program requirements.

No Financial Obligation

All programs are provided free of charge. Since no fees are collected, no refunds are applicable or available.

No Employment Relationship

Participation in Institute programs does not create any employment, partnership, or agency relationship between participants and the Institute.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your Participation

Any claims arising from your participation in Institute programs, including your conduct, actions, or omissions during program activities.

Misuse of Resources

Any unauthorized use, misuse, or abuse of Institute resources, materials, platforms, or intellectual property.

Submitted Content

Any content, materials, or information you submit, share, or create during your participation in Institute programs.

This indemnification provision protects the Institute and its stakeholders from legal and financial consequences that may arise from participant actions or misconduct.

9. Governing Law and Dispute Resolution

Governing Law

These Terms and any disputes arising from or related to your participation in Institute programs shall be governed by and construed in accordance with the laws of South Carolina, without regard to its conflict of law principles.

Arbitration Requirement

Any disputes shall be resolved exclusively through binding arbitration under the rules of the American Arbitration Association, conducted in Charleston, South Carolina. Class action lawsuits are expressly prohibited.

10. General Provisions

Entire Agreement

These Terms constitute the complete and exclusive agreement between you and the Institute regarding your participation in programs, superseding all prior negotiations, representations, or agreements.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Updates and Modifications

The Institute may update these Terms at any time. Continued participation in programs after updates constitutes acceptance of the revised terms.

These general provisions ensure the legal integrity and enforceability of the agreement while providing flexibility for necessary updates and modifications as the Institute's programs evolve.
